connection with this Agreement, including but not limited to, negligence, wrongful act or

hold Seller harmless shall not extend to a claim that is the result of Seller’s sole negligence
or willful misconduct. In any and all claims against Seller by any employee of Buyer, the
indemnification obligation under this paragraph shall not be limited in any way by any
limitation on the amount or type of damages, compensation, or benefits payable by or for
Buyer under workers’ or workmen’s compensation acts, disability benefit acts, or other
employee benefit acts.
IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE
OTHER FOR ANY INDIRECT (INCLUDING LOSS OF PROFIT AND
BUSINESS OPPORTUNITIES), INCIDENTAL, CONSEQUENTIAL,
PUNITIVE, OR SPECIAL DAMAGES ARISING HEREFROM OR
RELATED HERETO IN ANY CAUSE OF ACTION OF ANY KIND, EVEN
IF ADVISED OF, OR AWARE OF, THE POSSIBILITY OF SUCH
DAMAGES. EACH PARTY’S TOTAL LIABILITY TO THE OTHER PARTY
FOR EVERY REASON SHALL BE LIMITED TO THE AGGREGATE
AMOUNT OF CONSIDERATION AND ASSOCIATED FEES ACTUALLY
PAID BY BUYER TO SELLER PURSUANT HERETO OR RECEIVED BY
SELLER UNDER ANY INSURANCE POLICY REQUIRED TO BE
